Private Placement Note (PPN): The Document Behind Every Private Investment Decision

An investment document that presents an opportunity to a limited group of qualified investors and gathers everything they need to decide.

What is a Private Placement Note?

A Private Placement Note (PPN) is an investment document used to present an opportunity to a limited number of qualified investors or institutions, rather than offering it to the general public. In many markets the same document is called a Private Placement Memorandum (PPM) or an information memorandum. Whatever the name, the purpose is the same: to give investors a complete, documented picture of the opportunity before they commit any capital.

Unlike a public prospectus, which is addressed to everyone and subject to extensive registration and disclosure requirements, a private placement targets a select group of investors who are expected to have the experience and financial capacity to assess risk. That does not put it outside the rules: private placements remain subject to the regulations and supervisory authorities of each market, and compliance is a core part of preparing the document.

What does a PPN include?

A well-prepared PPN covers all the key information an investor needs, typically including:

  • Company or project overview: what the business does, its target market and current position.
  • The required investment amount and the structure of the offering, whether equity, shares or another instrument.
  • Use of proceeds: exactly where each part of the funding will go.
  • The revenue and profit model, meaning how the business makes money.
  • The management team, its expertise and track record.
  • Financial projections and expected returns, together with the assumptions behind them.
  • Potential risks: operational, market, regulatory and financial.
  • Investment terms and conditions, such as minimum ticket size, investor rights and exit mechanisms.

A worked example

Example: If a company seeks to raise $10 million from a select group of investors, it may prepare a PPN outlining the business, the opportunity, expected returns, risks and the investment structure. The document might show how the $10 million will be split between operational expansion, working capital and marketing; what stake or rights investors receive in return; the range of possible return scenarios; and the factors that could push results below plan. Each investor can then weigh the opportunity against alternatives before negotiations begin.

Why is a PPN important?

  • It provides clear and transparent information to investors.
  • It helps investors evaluate the opportunity and compare it with alternatives.
  • It sets out expected returns and the associated risks side by side.
  • It serves as a key document in private investment transactions, referenced during negotiation and contract drafting.
  • It enhances professionalism and investor confidence, and signals that the issuer is serious.

For the business owner, preparing a PPN is also a discipline in itself: it forces a review of the business model and numbers through an investor's eyes, often exposing gaps before investors find them.

Common mistakes and limitations

  • Overly optimistic projections built on assumptions that cannot be defended.
  • Downplaying or omitting risks, which damages credibility and can create legal liability.
  • Vague language on use of proceeds, exit terms or investor rights.
  • Preparing the document without legal review to confirm it complies with applicable regulations.
  • Investors relying on the PPN alone instead of carrying out independent due diligence.

A PPN is a disclosure and presentation tool, not a guarantee of returns. The figures it contains are projections and can change as circumstances change.
